Platform Purpose and Scope
360 Centric is a software platform designed to provide governance, workflow coordination, evidence retention, and operational visibility for tax, accounting, and professional services firms. The Platform operates as a governance and coordination layer and does not replace accounting systems, tax preparation software, payment processors, or professional judgment.

No Professional Services or Advice
360 Centric does not provide tax, accounting, legal, or other professional advice. Use of the Platform does not transfer professional responsibility from a firm or its licensed professionals to 360 Centric. All professional decisions, filings, representations, and conclusions remain the responsibility of the firm and its professionals.

User Eligibility and Authority
You represent that you are authorized to act on behalf of the firm and have authority to connect third-party systems, manage users, and configure data access. You are responsible for ensuring that use of the Platform complies with applicable laws, professional standards, and firm policies.

Integrations and Third-Party Services
The Platform may connect to third-party services such as Microsoft 365, Intuit, Xero, payment processors, e-sign providers, and communications platforms. Third-party systems remain the systems of record for their native data. 360 Centric accesses such data only as authorized and is not responsible for third-party service availability or accuracy.

Data Use and Privacy
Use of the Platform is subject to the 360 Centric Privacy Policy, which describes how data is collected, used, retained, and protected. Firms control access permissions and configuration of their data within the Platform.

Acceptable Use
You agree not to misuse the Platform, interfere with its operation, attempt unauthorized access, or use the Platform for unlawful purposes. Automated actions, AI-assisted features, and system outputs are advisory only and require human review.

Security and Access Controls
360 Centric implements administrative, technical, and organizational safeguards designed to protect data integrity and availability. Firms are responsible for managing user credentials, role assignments, and access governance.

Suspension and Termination
360 Centric may suspend or terminate access to the Platform for violations of these Terms, security risks, or legal requirements. Upon termination, data handling will follow contractual and legal retention obligations.

Intellectual Property
All intellectual property rights in the Platform remain the property of 360 Centric or its licensors. No rights are granted except as expressly set forth in these Terms.

Disclaimers
The Platform is provided "as is" without warranties of any kind. 360 Centric does not warrant uninterrupted operation, error-free performance, or regulatory compliance outcomes.

Limitation of Liability
To the maximum extent permitted by law, 360 Centric shall not be liable for indirect, incidental, consequential, or professional damages arising from use of the Platform.

Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Changes to Terms
360 Centric may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
